5.4 If for any reasonable business justification S∏ is unable to assume the defense,prosecution,negotiation,compromise or other handling of any claim,suit or other proceeding for which Buyer seeks indemnity pursuant to Section 7.2,Buyer shall,at S∏’s cost and in strict accordance with S∏’s instructions,defend,prosecute,negotiate,compromise and otherwise handle such claim,suit or other proceeding.Buyer shall advise S∏ in writing as to all material aspects relating to such claim,suit or other proceeding and,in any event,shall report to S∏ thereon in writing on a regular basis.In no event shall Buyer compromise or otherwise settle such claim,suit or other proceeding without S∏’s prior written consent.If Buyer makes any such compromise or settlement without S∏’s prior written consent,Buyer shall be solely responsible for all costs of such compromise or other settlement.
5.5 Notwithstanding the foregoing,the amount recoverable against S∏ for said liabilities,damages,losses,costs and expenses shall not in any event exceed 100% of the aggregate amount Buyer has paid to S∏ under this Agreement for those Products that have been established to infringe upon third parties’ intellectual property rights’ or applications thereof.
5.6 S∏ MAKES NEITHER WARRANTY NOR REPRESENTATION,EXPRESS OR IMPLIED,WITH RESPECT TO THE PRODUCTS AND COMPONENTS THEREOF,EXCEPT AS SPECIFICALLY PROVIDED FOR IN SECTION 8.1 HEREOF
