Article 10.2 Allocations and Distribution of Profits
Prior to distributing after-tax profit,the JV Company shall,according to the Chinese laws and regulations,allocate such profits to the reserving fund,employee reward and welfare fund and enterprise development fund.The allocating percentage of each year shall be decided by the Board of Directors.The remaining after-tax profits after such allocations to the aforementioned three funds shall be distributed to the Parties in proportion to their respective contributions to the Registered Capital.

PS,allocation我不是很清楚具体官方的翻译,大致意思其实和distribution差不多,但是更多的有“拨款”的意思.
