1.Time shall be of the essence for performance of the seller`sboligations under the purchase order and any failure to deliver as instructed or by the date or dates or in the quantities specified and to the specification agreed will render the purchase order of any part of it liable to cancellation by the buyer an the buyer reserves the right to purchase the goods or materials in question from other suppliers and to charge the seller with any expenses so incurred by the buyer.all goods are to be delivered at the seller`s riks carriage paid and will in any case remain at the seller`s risk until delivery.
2.the property in the design and in all documents rawings and data relating thereto and in all inventions and patents arising from work done or information obtained by the seller in connection with this purchase order from the buyer shall belong to the buyer absolutely.the seller will at the buyer`s request and cost complete and procure completion of all documents which may be necessary to obtain patent and any similar protection in the buyer`s name.
3.this purchase order is placed upon the understanding that the property in any thing or any loaned or free issue materials supplied to the seller in connection with this purchase order shall not be vested in the seller but will be at the seller`s risk and will be insured by the seller`s at theseller expense for its full replacement value while away from the buyer`s works and shall furthermore be made avaiable to the seller subject to sunch further terms and conditions as may be specified.
4.no failure to exercise nor any delay on the buyer`s part in exercising any or part of its rights hereunder shall operate as a waiver thereof.
5.the goods or materials are to be furnished to the buyer on the understanding that the seller indemnifies the buyer against all judgements,decrees,costs and expenses resulting from any alleged infringement or breach of any HongKong or foreign patent,registered design,restricted use agreement,trademark,copyright or equivalent and that the seller will upon the buyer`s request and at the seller`s own expense defend or assist in the defence of any suit,action or claim which may be brought against the buyer or those using the goods or materials in question by reason of any alleged infringement or breach of any of the above.
