Governing Law
2.This Agreement shall be governed by and construed in accordance with the laws of HONG KONG,PRC,without reference to its conflicts of laws provisions.
Counterparts
3.This Agreement may be executed in counterparts each of which shall be deemed an original and all of which together shall constitute one agreement.
Miscellaneous
4.Without the prior written consent,except where legally compelled to,of the other party,no party to this Agreement will,nor any of their respective Representatives shall,disclose to any other Person either the fact that discussions or negotiations are taking place concerning the Project or any of the terms,conditions or other facts with respect to any such possible transaction relating to the Project.
5.Notwithstanding anything to the contrary provided elsewhere herein,if the Recipient or any of its Representatives is required to disclose any Confidential Information pursuant to a law or regulation or legal or judicial process,Recipient or such Representative may disclose such portion of the Confidential Information as the Recipient or such Representative is required as aforesaid to disclose,provided that,so long as it is permitted by law to do so,the Recipient shall first give notice to the Provider in order to allow the Provider to obtain a protective order or other appropriate remedy and shall reasonably cooperate with the Provider in connection therewith.In addition to the foregoing,the Recipient or any of its Representatives may disclose Confidential Information if and to the extent necessary for the defense of its and their rights and obligations under this Agreement.
